These Terms of Service (“Terms”) govern your access to and use of Formusoft’s websites, software services, APIs, and professional services (collectively, the “Services”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Who we are
“Formusoft,” “we,” “us,” and “our” refer to Formusoft, Inc. “You” and “your” refer to the customer or entity using the Services.
2. Services
We offer two primary categories of services:
- Software & API Services: SaaS, integrations, and APIs (including Stripe Payments-related integrations).
- Crestron & Systems Services: programming, configuration, integration, and support for Crestron and related systems.
Specific deliverables, timelines, and pricing may be described in an order form, statement of work (“SOW”), proposal, subscription plan, or similar agreement. If there is a conflict, the SOW/order form controls for that project.
3. Account access & acceptable use
- You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.
- You agree not to misuse the Services, attempt unauthorized access, interfere with operations, or use the Services for unlawful activity.
- You will only use payment integrations (including Stripe) for lawful products/services and compliant business models.
4. Payment processing & third-party platforms
If you use payment features or integrations, you may also be subject to third-party terms (for example, Stripe’s terms). We do not control third-party services and are not responsible for their availability, policies, or actions.
Unless expressly stated in writing, we do not store full card numbers (PAN) on our systems. Card data is typically handled by PCI-compliant payment processors such as Stripe.
5. Fees, invoicing, and taxes
Fees are as described in the applicable subscription plan, SOW, or invoice. You agree to pay all fees when due. You are responsible for applicable taxes, except where prohibited.
6. Cancellations, refunds, and credits (baseline)
Subscriptions (if applicable): You may cancel a subscription at any time. Unless required by law or stated otherwise, subscription fees are non-refundable and your service continues until the end of the current billing period.
Professional services: Deposits (if any) are typically non-refundable once work begins. If you cancel before work starts, we may refund the deposit minus any non-recoverable costs. If you cancel after work begins, you agree to pay for work performed and committed costs through the cancellation date.
If you believe you were billed incorrectly, contact support within 30 days of the invoice date.
7. Delivery / fulfillment
Software services are delivered electronically (web access, API access, or code deliverables where applicable). Crestron and systems services may be delivered remotely and/or onsite depending on the SOW.
8. Intellectual property
We retain all rights to our pre-existing technology, software, documentation, and know-how. Unless otherwise stated in a SOW, you receive a limited, non-exclusive right to use deliverables for your internal business purposes. Any third-party software remains subject to its own licenses.
9. Confidentiality
Each party may receive confidential information from the other. You agree to protect confidential information and use it only to receive/provide the Services, except as required by law.
10. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORMUSOFT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS/REVENUE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
12. Termination
You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms, if required to comply with law, or to protect the security of the Services.
13. Changes to these Terms
We may update these Terms from time to time. If changes are material, we will update the effective date and post the updated Terms. Continued use after changes means you accept the updated Terms.
